Non-Exclusive Audio Lease
This License Agreement (the "Agreement") is entered into and made effective as of the date referenced above by and between the Producer (representing New Sound Studio, operated by Ignacio Rauscher, Vienna, Austria) and the buyer identified by the Licensee and Order / Reference ID above (hereinafter the "Licensee"). This Agreement governs the usage rights of the instrumental master recording titled above (the "Beat") and takes effect once payment for the order has been received in full.
Subject to the terms and conditions herein, New Sound Studio hereby grants the Licensee a limited, non-exclusive, non-transferable, worldwide, and perpetual license to use, modify, edit, record vocals over, and perform publicly with the Beat according to the selected lease tier.
Licensee is permitted to distribute commercial recordings created with the Beat ("New Songs") on digital distribution platforms (including but not limited to Spotify, Apple Music, YouTube Music, Deezer). Stream and usage thresholds are strictly governed by the selected tier limits.
The Licensee agrees to the following express prohibitions:
Unless an Exclusive License is explicitly purchased, all ownership rights, intellectual property, copyright, and publishing rights in and to the Beat remain exclusively with the original Producer (New Sound Studio). The Licensee is required to display credits in the format: "Prod. by [Producer Name] / New Sound Studio" on all physical and digital releases where credits are customary.
New Sound Studio warrants that it holds the rights required to grant this license and that the Beat, to the best of its knowledge, does not infringe the rights of any third party. Except for this warranty the Beat is provided "as is". The total liability of New Sound Studio under this Agreement is limited to the amount actually paid by the Licensee for this license. The Licensee is solely responsible for any content added to the Beat and for its own releases, distribution and marketing.
The licensed files are delivered digitally and immediately after payment. As the product is delivered instantly, all sales are final once a download link has been accessed, in line with the New Sound Studio Terms of Service. Download links can be re-sent at any time via the "Find my order" page.
This Agreement takes effect on the Agreement Date and remains in force indefinitely, unless and until the usage limits set out above are exceeded or the Agreement is terminated for breach. Any violation of the usage limits, payment defaults, or breach of the restrictions in Section 4 automatically terminates this license and requires the immediate removal of all distributions. This Agreement is governed by the laws of the Republic of Austria; the exclusive place of jurisdiction is Vienna, Austria. Should any provision be or become invalid, the remaining provisions stay in force.
