Music License Agreement — New Sound Studio

1. PARTIES & EFFECTIVE DATE

This License Agreement (the "Agreement") is entered into and made effective as of the date referenced above by and between the Producer (representing New Sound Studio) and the Buyer (hereinafter referred to as the "Licensee"). This Agreement governs the usage rights of the instrumental master recording titled above (the "Beat").

2. GRANT OF LICENSE

Subject to the terms and conditions herein, New Sound Studio hereby grants the Licensee a limited, non-exclusive, non-transferable, worldwide, and perpetual license to use, modify, edit, record vocals over, and perform publicly with the Beat according to the selected lease tier.

3. COMPILATION & DISTRIBUTION

Licensee is permitted to distribute commercial recordings created with the Beat ("New Songs") on digital distribution platforms (including but not limited to Spotify, Apple Music, YouTube Music, Deezer). Stream and usage thresholds are strictly governed by the selected tier limits.

4. CRITICAL RESTRICTIONS

The Licensee agrees to the following express prohibitions:

Content ID Restriction: Under no circumstances is the Licensee permitted to register the Beat or the resulting New Song with any Content ID system (such as YouTube Content ID, Facebook Rights Manager) as it would cause false claims against other legal licensees.
Sublicense & Resale: The Licensee shall not resell, license, lease, give away, or distribute the Beat as a standalone instrumental track.
No Standalone Audio: The Beat must be combined with original vocal performances or significant audio additions before release.

5. CREDIT & OWNERSHIP

Unless an Exclusive License is explicitly purchased, all ownership rights, intellectual property, copyright, and publishing rights in and to the Beat remain exclusively with the original Producer (New Sound Studio). The Licensee is required to display credits in the format: "Prod. by [Producer Name] / New Sound Studio" on all physical and digital releases where credits are customary.

6. JURISDICTION & BREACH

This Agreement shall be governed by and construed in accordance with the laws applicable to online digital goods. Any violation of stream limits, payment defaults, or restriction breaches automatically terminates this license, requiring immediate removal of all distributions.
