By accessing or using the New Sound Studio website (newsound-studio.com) or purchasing any product, you agree to be bound by these Terms of Use. If you do not agree, do not use our services.
These Terms are governed by the laws of the Republic of Austria. Any disputes shall be subject to the exclusive jurisdiction of the courts of Vienna, Austria.

All products sold on NSS are digital goods. Upon purchase, you receive a non-exclusive, non-transferable license to use the product according to the license tier selected:
Ownership of the underlying composition and master recording remains with the original producer unless an Exclusive license is purchased.
Prices and VAT. All prices shown are final prices in euro. New Sound Studio operates under the Austrian small business scheme (Kleinunternehmerregelung, § 6 (1) 27 UStG) and therefore does not charge or show value added tax. No VAT is added at checkout, and none is shown on your invoice.

This section applies to one-time digital purchases (beats, templates, PDFs, exclusive licenses, and similar single-payment products). For recurring subscriptions (Producer plans, Beat Club membership plans, and New Sound Academy), see Section 04a below.
Due to the instant-delivery nature of digital products, all sales are final once a download link has been accessed. We do not offer refunds for change of mind or incompatibility with software not listed in the product description.

Statutory right of withdrawal. As a consumer resident in the EU you ordinarily have a statutory right to withdraw from a distance contract within 14 days without giving a reason. Because everything sold here is digital content delivered immediately, that right lapses once you have expressly requested immediate delivery and acknowledged the resulting loss of the right — which you confirm at checkout, before payment is taken, via a dedicated consent checkbox, and which we confirm back to you in your order email. On that basis, and only on that basis, the sales described above are final.
If you were not asked for that consent, your statutory 14-day right of withdrawal remains fully intact regardless of anything else in this section. See our Right of Withdrawal page for the full notice and the official model withdrawal form.

This section governs recurring subscription products: Producer plans (Pro and Premium), Beat Club membership plans (Basic, Gold, Platinum), and New Sound Academy membership (monthly or yearly, including Early Bird / founding pricing). It supplements, and takes precedence over, Section 04 for these products.
Beat Club credits. Gold and Platinum plans include a number of monthly download credits. Credits can be redeemed on beats marked as a Club Pick — the selection producers have released into the club — and cover an MP3 or WAV licence. Stems and exclusive rights are not included in a credit and remain available as a normal purchase. Which beats are Club Picks is decided by their producers and therefore changes over time; no particular beat is guaranteed to be available. Unused credits expire at the end of each billing period and do not carry over. A beat you have already downloaded with a credit stays available to you even if it later leaves the club.
Auto-renewal. Subscriptions automatically renew at the end of each billing period (monthly or yearly, as selected) until cancelled. You will be charged the then-current price for your plan at each renewal unless a price change notice under this section applies.
Cancellation. You may cancel at any time, self-service, via the billing portal available in your account dashboard. Cancellation takes effect at the end of your current paid billing period — you keep access until then, and no partial refund is given for the unused portion of a period already paid for.
Price changes. If we change the price of a subscription plan, we will announce the change in advance of it taking effect. You will have the right to cancel before the new price applies to you; continuing your subscription past the effective date constitutes acceptance of the new price.
Early Bird / founding price. Where a subscription was purchased at a discounted Early Bird or "founding member" price, that price is guaranteed only for as long as the subscription remains active without interruption. If a subscription lapses (e.g. through cancellation or unresolved payment failure) and the same or a different account later re-subscribes, the then-current standard price applies — a lapsed Early Bird subscription cannot be re-activated at the original discounted price.
Payment failure. If a renewal payment fails, we will retry the charge and your subscription enters a limited grace period during which access continues. If payment is not resolved before the grace period ends, access is suspended until you update your payment method and any outstanding amount is settled.
Right of withdrawal (EU consumers). If you are a consumer resident in the EU, you ordinarily have a statutory right to withdraw from a distance contract within 14 days without giving a reason. At checkout, you may expressly request immediate access during that period. Whether and when a withdrawal right ends, or whether a proportionate amount may be due for performance already supplied, depends on the legally applicable classification and mandatory law; these Terms do not exclude any mandatory statutory right. The referral programme is available only between approved Producer accounts. Buyer, Beat Club, Academy, admin, self-referral, duplicate, or otherwise ineligible accounts do not qualify. A referred Producer may qualify only once for the lifetime of that account.
A reward candidate is created only after the referred Producer makes a positive first payment for a Pro or Premium subscription without a promotion. It remains locked for at least 60 days. At release, the qualifying subscription must still be active, must not be scheduled for cancellation, and its payment history must contain no refund, partial refund, or dispute. Monthly subscriptions must have completed at least two positive paid invoices; yearly subscriptions require the positive first invoice.
If eligible, both Producers receive 30 subscription days. A paid referrer must hold the same qualifying Producer plan; an eligible Starter referrer receives a temporary matching tier instead. Rewards have no cash value, cannot be transferred, and may be withheld, reversed, or placed into manual review following a late refund, dispute, payment-method match, fraud signal, or other attempted abuse.

You are responsible for maintaining the confidentiality of your account credentials. You must not share your account with others or allow others to access your downloads.
NSS reserves the right to suspend or terminate accounts that violate these Terms, engage in fraudulent activity, or abuse the community guidelines — without notice and without refund.

The NSS Community forum is a space for artists and producers to connect. The following are strictly prohibited:
Violations result in immediate account ban. Serious violations may be reported to relevant authorities. NSS maintains moderation logs and reserves the right to use them in legal proceedings.

Producers approved to sell on NSS agree to the following:
Sellers retain full copyright of their original work. NSS does not claim ownership of any uploaded content.
Member discount. Beat Club members receive a permanent 15% discount on beat licences. This discount is applied to the sale price before your payout is calculated, which means it is borne by you as the seller, not by NSS. This is stated here so that it is never a surprise: a member purchase pays you roughly 15% less than the same purchase by a non-member. In exchange, members buy considerably more often than one-off visitors.
Beat Club pool. You may release individual beats into the Beat Club ("Club Picks"). This is always your own decision, made per beat in your producer dashboard — NSS never places a beat into the club on your behalf, and you can withdraw a beat at any time. Downloads already taken remain valid.
Releasing a beat means Beat Club members can download it using a monthly credit instead of buying it. Because a subscription is not a per-beat sale, these downloads are not paid per unit. Instead:
Credit downloads taken before a beat was released into the Beat Club are not retrospectively compensated.
07a
Software License Warranty. By registering as a seller on New Sound Studio, you expressly warrant and represent that:
Indemnification. You agree to indemnify, defend, and hold harmless New Sound Studio, its operator, affiliates, employees, and agents from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising from or related to:
This indemnification obligation survives termination of your seller account and remains in effect indefinitely with respect to content uploaded during the active period of your account.

Sellers are responsible for the accuracy of the information they provide to NSS. By completing seller registration, you:
Providing accurate information is a condition of holding a seller account on NSS.

NSS provides its products and services "as is" without warranty of any kind. We are not liable for any indirect, incidental, or consequential damages arising from the use of our products, including but not limited to loss of revenue, missed opportunities, or technical incompatibilities.
Our total liability to any user shall not exceed the amount paid for the specific product giving rise to the claim.

NSS reserves the right to modify these Terms at any time. Material changes will be communicated via email to registered users. Continued use of the platform after changes constitutes acceptance of the updated Terms.
