Acceptance of Terms

By accessing or using the New Sound Studio website (newsound-studio.com) or purchasing any product, you agree to be bound by these Terms of Use. If you do not agree, do not use our services.

These Terms are governed by the laws of the Republic of Austria. Any disputes shall be subject to the exclusive jurisdiction of the courts of Vienna, Austria.

Digital Products & Licenses

All products sold on NSS are digital goods. Upon purchase, you receive a non-exclusive, non-transferable license to use the product according to the license tier selected:

• MP3 Lease: personal and commercial use up to 50,000 streams. Non-exclusive. Producer credit required.
• WAV Lease: commercial use up to 150,000 streams, radio eligible. Non-exclusive. Producer credit required.
• Exclusive License: full buyout. All rights transfer to the buyer. Beat is removed from sale after purchase.
• Templates & PDFs: licensed for personal use by the purchaser. May not be redistributed, resold, or shared.

Ownership of the underlying composition and master recording remains with the original producer unless an Exclusive license is purchased.

Prohibited Uses

You may not use NSS products or services to:

• Redistribute, resell, or sublicense any purchased product to a third party.
• Use a leased beat in a project that exceeds the stream or usage limits of that license tier.
• Create content that is defamatory, hateful, discriminatory, or promotes violence.
• Attempt to reverse-engineer, decompile, or extract assets from template files beyond their intended use.
• Use automated tools, bots, or scrapers on the NSS website.
• Impersonate NSS, its staff, or other users on the platform or community.

Refund Policy

This section applies to one-time digital purchases (beats, templates, PDFs, exclusive licenses, and similar single-payment products). For recurring subscriptions (Beat Club membership plans and New Sound Academy), see Section 04a below.

Due to the instant-delivery nature of digital products, all sales are final once a download link has been accessed. We do not offer refunds for change of mind or incompatibility with software not listed in the product description.

Exceptions are made if:

• The download link is non-functional and cannot be resolved within 48 hours of reporting.
• You were charged more than once for the same order due to a technical error.
• The product delivered is materially different from its description.

Subscriptions (Beat Club & New Sound Academy)

This section governs recurring subscription products: Beat Club membership plans (Basic, Gold, Platinum) and New Sound Academy membership (monthly or yearly, including Early Bird / founding pricing). It supplements, and takes precedence over, Section 04 for these products.

Auto-renewal. Subscriptions automatically renew at the end of each billing period (monthly or yearly, as selected) until cancelled. You will be charged the then-current price for your plan at each renewal unless a price change notice under this section applies.

Cancellation. You may cancel at any time, self-service, via the billing portal available in your account dashboard. Cancellation takes effect at the end of your current paid billing period — you keep access until then, and no partial refund is given for the unused portion of a period already paid for.

Price changes. If we change the price of a subscription plan, we will announce the change in advance of it taking effect. You will have the right to cancel before the new price applies to you; continuing your subscription past the effective date constitutes acceptance of the new price.

Early Bird / founding price. Where a subscription was purchased at a discounted Early Bird or "founding member" price, that price is guaranteed only for as long as the subscription remains active without interruption. If a subscription lapses (e.g. through cancellation or unresolved payment failure) and the same or a different account later re-subscribes, the then-current standard price applies — a lapsed Early Bird subscription cannot be re-activated at the original discounted price.

Payment failure. If a renewal payment fails, we will retry the charge and your subscription enters a limited grace period during which access continues. If payment is not resolved before the grace period ends, access is suspended until you update your payment method and any outstanding amount is settled.

Right of withdrawal (EU consumers). If you are a consumer resident in the EU, you ordinarily have a statutory right to withdraw from a distance contract within 14 days without giving a reason. For digital subscriptions delivering content or services immediately, this right lapses once you have expressly requested immediate performance and acknowledged the resulting loss of your withdrawal right — which you confirm explicitly at checkout, before payment is taken, via a dedicated consent checkbox. If you do not give that consent, your statutory 14-day withdrawal right remains intact.

User Accounts

You are responsible for maintaining the confidentiality of your account credentials. You must not share your account with others or allow others to access your downloads.

NSS reserves the right to suspend or terminate accounts that violate these Terms, engage in fraudulent activity, or abuse the community guidelines — without notice and without refund.

Community Rules

The NSS Community forum is a space for artists and producers to connect. The following are strictly prohibited:

• Hate speech, slurs, or discriminatory language of any kind.
• Spam, unsolicited promotions, or scam attempts.
• Sharing pirated music, software, or copyrighted material.
• Harassment, threats, or targeted abuse of other members.
• Impersonating artists, producers, or NSS staff.

Violations result in immediate account ban. Serious violations may be reported to relevant authorities. NSS maintains moderation logs and reserves the right to use them in legal proceedings.

Seller Terms

Producers approved to sell on NSS agree to the following:

• All submitted content must be original and free of uncleared samples.
• You grant NSS a non-exclusive license to display, market, and sell your products on the platform.
• You are responsible for the accuracy of your product descriptions, BPM, key, and licensing information.
• NSS retains a platform commission on each sale, as agreed during seller onboarding.
• NSS may remove listings that violate platform standards without notice.

Sellers retain full copyright of their original work. NSS does not claim ownership of any uploaded content.

Software License Warranty & Indemnification

Software License Warranty. By registering as a seller on New Sound Studio, you expressly warrant and represent that:

• All digital audio workstations (DAWs), virtual instruments (VST/AU/AAX plugins), sample libraries, audio processing tools, and any other software used in the creation, production, mixing, or mastering of content uploaded to the platform have been legally licensed and obtained through authorised channels.
• You have not used, and will not use, any cracked, pirated, nulled, or otherwise unlicensed software in the creation of any content offered for sale on the platform.
• Any third-party samples, loops, or sound recordings incorporated into your productions are either original, royalty-free, or properly licensed, and are free of any third-party intellectual property claims.

Indemnification. You agree to indemnify, defend, and hold harmless New Sound Studio, its operator, affiliates, employees, and agents from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising from or related to:

• Any breach of the software license warranty set forth above.
• Any third-party intellectual property claims, including but not limited to claims by software developers, plugin manufacturers, or sample library owners, resulting from your use of unlicensed software in content sold on the platform.
• Any regulatory action, fine, or enforcement measure directed at NSS arising from your failure to comply with applicable software licensing laws.

This indemnification obligation survives termination of your seller account and remains in effect indefinitely with respect to content uploaded during the active period of your account.

Digital Services Act — Trader Self-Certification (Art. 30 DSA)

In accordance with Article 30 of Regulation (EU) 2022/2065 (Digital Services Act), sellers who operate on a commercial basis are required to provide and certify accurate trader information prior to being permitted to offer products on the platform. By completing seller registration, you:

• Declare that all information provided during registration (name, address, contact details, VAT/tax identification number where applicable) is accurate, complete, and up to date.
• Confirm that you operate in full compliance with applicable European Union law, including but not limited to consumer protection, intellectual property, and digital goods regulations.
• Acknowledge that NSS is required to transmit your trader information to EU authorities upon lawful request, and that false declarations may result in immediate account suspension and referral to competent national authorities.
• Consent to NSS displaying a notice to buyers indicating that your trader identity has been self-certified in accordance with Article 30 DSA.

This self-certification is a mandatory legal requirement for all commercial sellers. Non-compliance will result in the suspension of seller privileges until valid information is provided.

Limitation of Liability

NSS provides its products and services "as is" without warranty of any kind. We are not liable for any indirect, incidental, or consequential damages arising from the use of our products, including but not limited to loss of revenue, missed opportunities, or technical incompatibilities.

Our total liability to any user shall not exceed the amount paid for the specific product giving rise to the claim.

Changes to These Terms

NSS reserves the right to modify these Terms at any time. Material changes will be communicated via email to registered users. Continued use of the platform after changes constitutes acceptance of the updated Terms.
